상호 이익의 기초 위에서 무역을 발전시키기 위해서 관련 측은 아래의 조건에 따라 본 협의를 체결합니다.

This Agreement is entered into between the parties concerned on the bass of equality and mutual benefit to develop business on terms and cond itions mutually agreed ually agreed upon as:follows:

2. 상품명 및 수량 또는 금액

4. 주문 확인

Confirmation of Orders

본 협의소가 규정한 상품의 수량, 가격 및 선적 조건 등은 매 거래에서 확인해야 하며, 그 세목은 쌍방이 체결한 판매 협의서에서 규정해야 한다.

The quanties, prices and shipments of the commodites staties in this Agreement shall be confirmed in each paction, the particulars of which are to be spied in the spirmation signed by the two parties hereto.

5. 지불

Payment

주문이 확인된 후, 을측은 관련 확인서에 규정된 시간에 갑을 수혜인으로 하는 보증인을 개설하고 취소할 수 없는 즉시 신용장을 개설해야 한다.

을측은 신용장을 개설한 후 즉시 갑측에 통지하여 화물인도를 준비하기 위해 즉시 통지해야 한다.

6. 커미션

Commission

본 협의 기간이 만료될 때, 만약 을측이 제2관으로 규정한 액수를 완수하면, 갑측은 선적화물소에서 받은 영수증누계 총액을 을에게 지불해야 한다.

7.시장 상황 보고

Reports on Market Conitions

을측은 3개월마다 갑측에 당시 시장 상황과 사용자 의견에 관한 상세한 보고를 제공한다.

한편 을측은 언제든지 갑측에 다른 공급업체의 유사한 상품 샘플과 그 가격, 판매 상황과 광고 자료를 제공해야 한다.

8. 광고 비용 홍보

Advertising & Publicity Expenes

이 협의 유효기간 내에, 을측은 상술한 중개지역에서 광고선전한 모든 비용을 을이 자율한다.

을측은 사전에 갑측에 광고를 선전하는 도안 및 문자를 설명하여 갑측이 심사하여 동의해야 한다.

Party B shall bear all expenses for adverting and publicity within the aforemention territory in the duration of this Agreement and submit to Party A all patters and /or drawings and description for prior aprior approval.

9.프로토콜 유효기간

Validity of Agreement

이 프로토콜은 쌍방이 서명한 후 효율을 발생할 경우 유효기간이 유효기간이다.

만약 한 측이 이 협의를 연장하기를 원한다면 이 협의기간이 만료되기 전 한 달 전에 서면으로 다른 측에 통지하여 양측 협상을 거쳐 결정해야 한다.

협의한 측이 협의 조항을 이행하지 않았다면 다른 쪽은 협의를 중지할 권리가 있다.

　　This Agreement, after its being signed by the parties concerned, shall remain in force for________ days from ________ to _______ If either Party wishes to extend this Agreement, he shall notice, in writing, the other party one month prior to its expiration. The matter shall be decided by the agreement and by consent of the parties hereto. Should either party fail to implement the terms and conditions herein, the other party is entitled to terminate this Agreement.

10. 중재

Arbitration

협의를 이행하는 과정에서 논란이 생기면 쌍방은 우호적인 협상으로 해결해야 한다.

우호 협상을 통해 협의가 이루어지지 않는다면, 중국을 제출한다.

　　All disputes arising from the execution of this Agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade for arbitration in accordance with its provisional rules of procedure. The decision made by this Commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party ,unless otherwise awarded.

11. 다른 조항

Otherms & Conditions

(1) 갑은 중개지역 기타 바이어에 공급본을 제공할 수 없다

　　Party A shall no t supply the contracted commodity to any other buyer(s) in the above mentioned territory. Direct enquiries, if any, will be referred to Party B. However, should any other buyers wish to deal with Party A directly, Party A may do so. But party A shall send to Party B a copy of Sales Confirmation and give Party B________% commission on the basis of the net invoice value of the paction(s)concluded.

(2) 만약 을측이 이 이 협의의 의무를 맺지 못하면 갑측에 최소한 *** 주문을 하지 않으면 갑측이 이 이 협의의 의무를 감당하지 않을 것입니다.

Should Party B fail to pass orders to Party A in a priod of fubuuu _usussfor a minimmum of uuuububuuubuuuubu Party A shall not bind himself to this Agrement.

(3) 양측 정부 간 무역, 갑측은 정부의 권한에 따라 관련 직접무역을 할 권리가 있고, 본 협의에서 구속되지 않는다.

을측은 이 직접무역에 간섭해서는 안 되고 갑측에 어떤 보상이나 커미션을 요구할 권리도 없다.
